Terms of Service

1. Service Description

MixerLead is a multi-channel marketing automation SaaS platform that lets users connect LinkedIn and Instagram accounts via OAuth 2.0, draft and schedule posts, publish content, manage media files, and track campaign activity.

2. Eligibility and Account Registration

• You must have legal capacity to enter into binding contracts.
• You must provide accurate and complete registration information.
• You are responsible for safeguarding login credentials and account activity.
• You must promptly notify us of unauthorized use or suspected security incidents.

3. Plans, Fees, and Billing

• Free Plan: Limited feature access at no monthly subscription charge.
• Pro Plan: ₹2,499 per month (exclusive of applicable taxes unless stated otherwise).
• Subscription fees are billed in advance for each billing cycle and are payable via approved payment methods.
• You authorize MixerLead and its payment partners to charge all fees, taxes, and applicable charges associated with your selected plan.
• We may revise pricing with prior notice. Revised prices apply prospectively.

4. Cancellation and Refund Policy

• You may cancel your paid subscription at any time from account settings or by contacting support.
• Cancellation takes effect at the end of the current billing period; access to paid features continues until that period ends.
• Unless required by applicable law, subscription fees already paid are non-refundable and non-prorated.
• If MixerLead is unable to provide the paid service due to a verified platform-side failure solely attributable to MixerLead, we may, at our discretion, provide service credits or partial refunds.
• Chargebacks or payment disputes raised in bad faith may result in account suspension pending resolution.

5. User Content and Platform Integrations

• You retain ownership of your content, including text, media, and other materials submitted through MixerLead.
• You grant MixerLead a limited license to process, store, transmit, and publish your content solely to provide the Services.
• You represent that you have all rights and permissions necessary to upload, schedule, and publish such content.
• Use of LinkedIn and Instagram integrations is also subject to the respective platform terms and policies.

6. Acceptable Use

You agree not to use MixerLead to:

• Violate any applicable law, regulation, or third-party rights.
• Publish unlawful, infringing, deceptive, or malicious content.
• Attempt unauthorized access, reverse engineering, or service disruption.
• Transmit malware, spam, or abusive automated traffic.

We may suspend or terminate accounts violating these Terms.

7. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy and applicable law, including the Information Technology Act, 2000, rules thereunder, and the DPDP Act, 2023. OAuth tokens are stored in encrypted form (AES-GCM), and media files are stored on AWS S3.

8. Intellectual Property

All rights, title, and interest in MixerLead software, branding, documentation, and service components (excluding user content) belong to MixerLead or its licensors. No rights are granted except as expressly set out in these Terms.

9. Service Availability and Changes

We aim to provide reliable Services but do not guarantee uninterrupted, error-free, or always-available operation. We may modify, suspend, or discontinue features (including third-party integrations) with reasonable notice where practicable.

10. Disclaimers

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the extent permitted by law, MixerLead and its affiliates shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of data, profits, or business opportunities.

MixerLead's aggregate liability arising out of or relating to the Services shall not exceed the fees paid by you to MixerLead in the preceding three (3) months.

12. Indemnity

You agree to indemnify and hold harmless MixerLead, its officers, directors, employees, and agents from and against claims, losses, liabilities, and expenses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

13. GDPR and International Users

Where GDPR applies, MixerLead processes personal data according to applicable lawful bases and honors relevant data subject rights (subject to legal limitations). International transfers, where applicable, are protected using appropriate safeguards.

14. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach, security risks, legal requirements, or prolonged non-payment. On termination, rights granted under these Terms cease, except clauses intended to survive by nature (including liability, indemnity, and dispute provisions).

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction, subject to mandatory consumer law protections that may apply.
